Former City Councilman Corbett D. Parker is a Shareholder attorney with the Houston, Texas law firm of Pagel, Davis & Hill (“PDH”), a Professional Corporation.  He has worked with PDH since October 2007, and was a law clerk with the firm during the summer of 2004. His practice areas are primarily split between (i) facilitating small to mid-size mergers and acquisitions, and (ii) transactional work which consists of acting as assistant outside general counsel to a handful of companies (including the largest taxicab company in Texas), contract review and preparation, financial transactions, counseling on employment law matters, business formation advice, and corporate governance.

  • Represented a franchise shuttle transportation business in its sale of business to its franchisor through an asset sale.

  • Represented an oil tools company in its sale of business. 
  • Represented a full service global event marketer in its strategic acquisition of a regional company through an asset sale.
  • Represented a veterinary diagnostics laboratory in its sale of business to industry leader through asset sale.

Transactional Work

On behalf of firm transportation clients, worked on: company contracts,  performed comprehensive file audit ensuring record keeping compliance with local, state, and federal regulations; drafted proposed ordinance changes; defended EEOC, FLSA  and other disputes with employees; drafting of employment agreements, confidentiality and noncompetition agreements, and employee separation agreements; review and consultation on number of transportation service and vendor contracts;  led internal investigations of employee wrongdoing and audits of company processes;  research and consultation on local, state, and federal laws regulating taxicab industry; corporate filings and disclosures.

  • Consultated on and formation of multiple startup companies, and subsidiaries of existing companies.
  • Led corporate investigations and/or audits for clients that suspected internal wrong doing and wanting to improve their processes and/or reduce legal liability.
  • Reviewed and negotiated master service agreements on behalf of energy services company.
  • Negotiated, drafted, reviewed confidentiality, non-compete, non-solicitation, invention assignment agreements for numerous clients in various industries.
  • Assisted clients in preparation of public company required filings and disclosures.
  • Represented clients (usually a corporation, but has represented employees as well) in disputes over non-competition agreements.
  • Represented client in acquisition of real estate and facilitated the replatting of property through local municipality.
  • Represented client in multiple lending and consulting agreements with companies seeking turnaround.
  • Assisted client in preparing private placement memorandums, and various other capital raising transactions.
  • Represented variety of clients in disputes over website domains.
